Our Firm

López Rodezno & Asociados is one of the oldest and most prestigious law firms in Honduras. Founded in 1955 by Guillermo López Rodezno, its offices are located in Tegucigalpa and San Pedro Sula, with activities ranging across the country’s major cities.

Guillermo López Rodezno establishes the López Rodezno law firm with its offices at the Bancahsa building in downtown Tegucigalpa.

The firm gains a reputation for its advice to business entities, having among its initial clients the Azucarera Hondureña, S.A., the Tabacalera Hondureña, S.A., Jorge J. Larach y Cía., the Escuela Agrícola El Zamorano, Banco Atlántida, S.A., the airline SAHSA, and the Industria Confitera Hondureña, S.A.

The founder of the firm, Guillermo López Rodezno, prepares the draft of the Horizontal property Law for the Government’s Housing Institute which later became the first condominium law enacted by the National Congress.

Advised a Guatemalan investor in the acquisition of a sugar mill owned by a Honduran government investment company, which later became one of the most important sugar mill businesses in Honduras.

Incorporation of Grupo Granjas Marinas, S.A. and advised in its expansion through the structuring and incorporation of subsidiaries and affiliates, and through acquisitions and mergers with other corporations, becoming at such time the second largest shrimp producer in Latin America.

The firm assisted in the incorporation as well as in the approval from the financial regulator of the banking license for the banking institution Banco de la Producción, S.A. (BANPRO).

Provided external advice to the Privatization Consultant Committee of the Honduran government for the preparation of the legal framework for capitalizing the Honduran Telecommunications Company ((HONDUTEL).

The firm assisted in local law matters for the concession process of the International Airports that conform the Airport National System (SNA) of Honduras.

The firm acted as local counsel to UNILEVER in the acquisition of certain entities which were part of Grupo Cressida, the largest agroindustrial group in Honduras.

Advised South African Breweries on Honduran law matters in the acquisition process of Cervecería Hondureña S.A., the only existing brewery company in Honduras at the time.

Our firm lawyers participated in the preparation of the draft of the Master Law for the Postal Subsector, in support of the Presidential Committee for Modernization of the Country.

Advised in the “Ports Reform” which included the preparation of the Ports General Law as well as the preparation of the legal framework for the bidding guidelines of the main commercial Honduran Port, Puerto Cortés.

Provided legal consultancy on local law matters to the Telecommunications Regulator for the liberation of the Telecommunications Sector (National Telecommunications Commission-Strategic Policy Research)

Legal advice on Corporate-Commercial and Administrative law matters to transform the Port of Roatán into a Cruise Ship dock, preparing the legal framework for the public – private participation in the expansion and operation of such port.

The firm advised Banistmo Securities in the structuring and execution of one of the most important syndicated loan transactions at the time in the manufacturing (maquila) sector for a project located in the area of Potrerillos.

We successfully filed the first ever economic concentration notice to the antitrust regulator in the history of Honduras during our representation as Honduran counsel to Citibank N.A. in the acquisition of Banco Uno, S.A. and Inversiones Aval Card, S.A, the largest credit card issuer in Honduras at the time.

Local advice to Citigroup in the acquisition of certain subsidiaries and affiliates of UBC, including Banco Cuscatlán de Honduras, S.A. and Seguros Cuscatlán de Honduras, S.A., also assisting in the merger of such acquired bank subsidiary with Banco Uno, S.A.

Structured the first share acquisition transaction in Honduras subject to Honduran law but based on international acquisition practice, during our participation as legal counsel to Bicapital Corporation and others in the acquisition of Banco del País, S.A. and Seguros del País, S.A.

Advise as Honduran counsel to Citibank, N.A. DEG, OPIC, FMO and others, in one of the most important financings at the time to a telecommunications sector company, Digicel de Honduras in the amount of US$ 214 MM.

Acted as Honduran counsel to the US Ex-Im Bank and CABEI in the financing under a project finance structure to Energía Eólica de Honduras, S.A., the first and largest wind power project at the time in Honduras, which to date continues to be a landmark transaction.

Local legal advice to Deutsche Bank Securities Inc. in the first ever Sovereign Bond issuance by the Republic of Honduras on international markets, which in the aggregate with a second Sovereign Bond issuance later in the year among the same parties, represented a one billion US$ dollars issuance.

Advised on the Indura, Beach and Golf Resort, one of the most important tourism projects in the country, under which our firm lawyers introduced and implemented the use of a master condominium and several residential sub-condominiums.
